These Terms & Conditions ("Terms") govern your access to and use of Accountio AI (the "Service"), operated by Accountio AI (Private) Limited, a company registered in Pakistan ("Accountio", "we", "us", "our").

By creating an account, sending a message to our WhatsApp number, or otherwise accessing the Service, you ("you", "user") agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

Accountio AI is a conversational bookkeeping assistant designed for small and medium business owners. Through natural-language chat (in English, Urdu, or Roman Urdu), you can record transactions, track expenses, manage customer and supplier accounts, and sync records to Google Sheets or your own dashboard.

We continuously improve the Service. Features, pricing, and limits may change with reasonable notice.

2. Eligibility

To use the Service, you must:

• Be at least 18 years old.
• Have legal capacity to enter into a binding contract under Pakistani law (or the law of your jurisdiction).
• Use the Service for a lawful business or personal bookkeeping purpose.
• Not be barred from using the Service under any applicable laws or sanctions.

3. Account Registration

You are responsible for providing accurate registration information and keeping your credentials confidential. You are responsible for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized access.

4. Subscriptions, Pricing, and Payment

4.1 Plans

Accountio AI is offered as a paid subscription. Current pricing is published on accountio.ai/pricing. The Pro plan is priced at USD 25 per month (or the PKR equivalent at the prevailing rate), billed monthly in advance.

4.2 Payment processing

Payments are processed by Safepay, our authorized payment gateway. By subscribing, you authorize Safepay and us to charge your selected payment method on a recurring basis until you cancel. Card details are stored securely by Safepay; Accountio does not store full card numbers or CVV.

4.3 Taxes

Prices are exclusive of applicable sales tax, GST, or withholding tax. Where required, taxes will be added at checkout or remitted by you as the law requires.

4.4 Failed payments

If a payment fails, we may retry the charge, suspend your account, and ultimately terminate access if the failure is not resolved within 14 days.

4.5 Price changes

We may change subscription prices with at least 30 days' notice. New prices apply at your next billing cycle. If you do not accept a price change, you may cancel before it takes effect.

5. Cancellation and Refunds

You may cancel your subscription at any time from your account settings or by emailing [email protected]. Cancellation takes effect at the end of your current billing period — you keep access until then.

Subscription fees are non-refundable. We do not provide pro-rated refunds for partial months, unused features, or cancellation mid-cycle. Please see our full Cancellation & Refund Policy for details.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful, fraudulent, or deceptive purpose, including money laundering, tax evasion, or financing illegal activities.
• Upload or transmit content that infringes intellectual property, violates privacy, or is defamatory, obscene, or hateful.
• Attempt to reverse-engineer, scrape, decompile, or disrupt the Service or its underlying infrastructure.
• Use the Service to build a competing product or train competing AI models.
• Share your account credentials, resell access, or use the Service on behalf of an entity you are not authorized to represent.
• Send spam, malware, or automated abusive traffic.
• Bypass usage limits, rate limits, or security measures.

Violations may result in immediate suspension or termination without refund, and reporting to relevant authorities.

7. Your Data and Content

You retain ownership of all business data, transactions, and content you submit through the Service ("Your Content"). You grant Accountio a limited, non-exclusive, royalty-free license to host, process, transmit, and display Your Content solely to operate, improve, and provide the Service to you.

You are solely responsible for the accuracy, legality, and completeness of Your Content, including the accuracy of bookkeeping entries used for tax filing or financial decisions.

9. Third-Party Services

The Service integrates with third parties such as Google Sheets, WhatsApp Business API, and Safepay. Use of those services is subject to their own terms and privacy policies. We are not responsible for third-party outages, errors, or policy changes that affect your experience.

10. Intellectual Property

The Service, including all software, designs, text, graphics, logos, the "Accountio" name and "munshi" branding, and the underlying technology, is owned by Accountio AI (Private) Limited and protected by intellectual property laws. Nothing in these Terms grants you any right to our IP except the limited right to use the Service as described.

11. Service Availability

We aim for high availability but do not guarantee uninterrupted access. The Service may be unavailable due to maintenance, upgrades, third-party outages (including WhatsApp, payment gateways, or cloud providers), or events outside our control.

12. Disclaimers and Limitation of Liability

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, accuracy, or non-infringement.

To the maximum extent permitted by law, Accountio, its directors, employees, and affiliates shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, data, goodwill, or business opportunity, arising from your use of (or inability to use) the Service.

Our total aggregate liability for any claim arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the total fees you paid us in the 3 months preceding the claim, or (b) USD 50.

13. Indemnification

You agree to indemnify and hold harmless Accountio, its officers, employees, and partners from any claim, loss, or expense (including reasonable legal fees) arising from your misuse of the Service, violation of these Terms, infringement of third-party rights, or violation of applicable law.

14. Termination

We may suspend or terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms, posed a risk to other users or our infrastructure, or failed to pay applicable fees. On termination, your right to use the Service ends immediately. Sections that by their nature should survive (IP, disclaimers, liability, indemnification, dispute resolution) will continue to apply.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Islamic Republic of Pakistan, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively by the courts of Faisalabad, Punjab, Pakistan.

16. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified by email or in-app at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
